SECTION 3 - ORDERS

Minimum order quantities (MOQs) apply as advised on each product.
When you place an order, you are making an offer to purchase. JOYII reserves the right to accept or decline your order for any reason at its discretion, including due to stock availability. Your order is not accepted until JOYII confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as JOYII may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.
Your purchases are subject to return or exchange solely in accordance with our Returns & Claims policy in Section 5.
You represent and warrant that your purchases are for retail resale only and not for personal, household use or export, except as otherwise agreed in writing.

SECTION 4 - PRICES, BILLING AND PAYMENT

All prices are listed in AUD and exclude GST unless otherwise stated.
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Confirmed orders will not be affected by subsequent price changes. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
Orders must be paid in full before dispatch unless otherwise agreed in writing. Accepted payment methods: bank transfer. Late payments may result in order cancellation or delayed shipment.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address and payment details, so that we can complete your transactions and contact you as needed.

SECTION 5 - SHIPPING, DELIVERY & RETURNS

Shipping & Delivery:
Customers are responsible for delivery costs unless otherwise agreed. Estimated delivery times will be provided but are not guaranteed. We are not liable for shipping and delivery delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

Returns & Claims:
Returns are only accepted for faulty or incorrect items reported within 7 days of receipt. All claims must be supported with photos and order details. Change-of-mind returns are not accepted.

SECTION 6 - CONFIDENTIALITY, INTELLECTUAL PROPERTY & ACCEPTABLE USE

6.1 Confidentiality.
You acknowledge that in using our Services and engaging with our store, you may be exposed to JOYII's confidential and proprietary information ("Confidential Information"), including but not limited to: product designs, manufacturing processes, supplier and manufacturer identities, pricing structures, business strategies, and any other information a reasonable person would understand to be confidential.
You agree to hold all Confidential Information in strict confidence, not to use it for any purpose other than evaluating or purchasing products for authorised retail resale, and not to disclose it to any third party.

6.2 Non-Circumvention.
You agree not to circumvent, interfere with, avoid, or bypass JOYII's interests by utilising any Confidential Information to directly or indirectly exploit any business opportunity that was introduced by or through JOYII, including by engaging with JOYII's manufacturers, suppliers, or partners.

6.3 Intellectual Property.
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by JOYII, its affiliates or licensors and are protected by applicable intellectual property laws. All intellectual property (logos, branding, designs) remains the property of the manufacturer/licensor.
These Terms permit you to use the Services for your business use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of JOYII, Shopify or any third party. Unauthorized use of the Services may be a violation of intellectual property laws. All rights not expressly granted herein are reserved by JOYII.
JOYII’s names, logos, product and service names, designs, and slogans are trademarks of JOYII or its affiliates or licensors. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

6.4 Product Use & Resale.
Products are sold for retail resale only. Customers must not alter, repackage, misrepresent, or reverse-engineer products.

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.

JOYII is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with JOYII. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and JOYII, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with JOYII.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. SECTION 24 - ADDITIONAL AGREEMENTS FOR BUSINESS PARTNERS

24.1 Precedence of Separate NNN Agreement.
These Terms of Service incorporate basic obligations of confidentiality and non-circumvention. However, for certain business partners, wholesalers, or collaborators, JOYII may require a separate, comprehensive Non-Use, Non-Disclosure, and Non-Circumvention Agreement ("Standalone NNN Agreement").
In the event of any conflict or inconsistency between the provisions of a signed Standalone NNN Agreement and these Terms of Service, the provisions of the Standalone NNN Agreement shall prevail.

24.2 Purpose.
The Standalone NNN Agreement provides more detailed protections for the exchange of highly sensitive business information, including specifications for handling, return of information, and specific terms of duration and liability.

24.3 Execution.
A Standalone NNN Agreement is only effective upon written signature by authorised representatives of both JOYII and the business partner. The terms of this Section 24 do not themselves constitute a Standalone NNN Agreement.
